Board Resolution
A board resolution is a formal decision of a company’s board, used in a property transaction to authorise a person to act for the company.
Definition
DLD’s Mortgage registration application accepts “a duly notarized board of directors resolution” as an alternative to a legal power of attorney for a representative. Its Settlements Application asks free-zone companies for “A resolution of authorization to sign by the Board of Directors, certified by the free zone”.
What it shows — and what it does not
A resolution shows the board’s authority; whether one is needed, and in what form, depends on the DLD service and the type of company.
Example
Illustrative example: a free-zone company buying a unit provides a board resolution authorising its finance director to sign, certified by the free zone.
