Is this the correct transfer route?

The published Company-to-Individual service is intended for a property sale where:

  • The registered owner is a company
  • The proposed purchaser is an individual
  • The property is completed and has an issued title deed
  • The transfer is being completed as a sale
  • The company’s ownership, authority and authorised signatories can be verified
  • The company is already registered with Dubai Land Department or can complete the required entity-registration process
  • The property and parties can proceed through the applicable DLD-authorised trustee-centre process

The route should be reviewed before appointment where:

  • The proposed transfer is a gift, distribution or internal restructuring
  • The current owner is a trust, foundation or another non-standard structure
  • The company is not registered with DLD
  • The company has been dissolved, struck off or is subject to an ownership dispute
  • A mortgage or another restriction is registered against the property
  • The buyer is using mortgage finance
  • A party will act under a power of attorney
  • The property is off-plan or does not yet have a title deed
  • The required corporate authority or signatory position is unclear

In those cases, the scope and fee should be confirmed after review.

Corporate authority

A corporate-authority file, alongside the property file.

A company-owned property introduces a corporate-authority file alongside the ordinary property-transfer file. It is not enough for someone connected to the company to attend the transfer and sign. The transfer file must establish:

  • The identity and current status of the registered corporate owner
  • The company’s ownership and management structure
  • The company’s authority to dispose of the property
  • The approval required under its constitutional documents
  • The identity and authority of the person signing for the company
  • Whether the company is correctly registered in the DLD system
  • Whether any additional attestation, translation or legalisation is required

We identify those requirements early so that missing corporate documents do not delay the developer NOC or trustee appointment.

What we coordinate

Corporate ownership and DLD readiness

We review the company information against the title deed and establish whether the entity is correctly registered for the proposed transaction. Where a DLD entity registration or amendment is required, we identify that dependency before the transfer appointment is arranged.

Authority and signatory review

We examine the documents showing who controls the company, how the transfer must be approved and who is authorised to sign. Depending on the structure, this may include a board resolution, shareholder resolution, manager’s authority, constitutional documents or a power of attorney.

Property and transaction documents

We build the transfer file around the title deed, sale documentation, party information and any additional requirements identified during the corporate review. You do not need every document ready before opening the file; we record what has been received and list what remains outstanding.

Developer inspection and NOC coordination

We coordinate the developer’s service-charge, documentation and e-NOC requirements. Some developers require a pre-NOC inspection, particularly for villas. Where required and in scope, we coordinate the appointment and may attend. The inspection is conducted by the developer; Conveyance.ae does not provide a structural or snagging inspection.

Trustee appointment and registration readiness

Once the corporate, property and developer requirements are ready, we coordinate the file for the applicable DLD-authorised trustee centre — attendance arrangements, original documents, authority evidence, payment instruments and other transfer-day requirements.

Registration and title-deed follow-through

The authorised trustee processes the official registration through the DLD system. We coordinate the file through that appointment and follow the transaction through to issuance of the new title deed in the individual purchaser’s name.

We confirm that the registered owner is a company, the proposed purchaser is an individual and the transaction fits the Company-to-Individual sale route.

We establish the company’s status, ownership, constitutional authority and authorised signatories.

Build the document-gap list

We record the documents already available, identify missing evidence and confirm who is responsible for supplying each item.

Clear company-registration requirements

Where necessary, the company’s DLD registration or entity information is completed or updated before the sale can proceed.

Coordinate the developer requirements

We manage the developer e-NOC process, service-charge dependencies and any developer-led inspection required before the NOC is issued.

Prepare the trustee appointment

We confirm the parties, representatives, original documents, authority evidence and settlement requirements needed for the authorised trustee appointment.

Coordinate registration and closeout

The official transfer is completed through the DLD-authorised trustee centre. The new electronic title deed is then issued in the individual purchaser’s name.

Important service boundaries

What the coordination does not include

Conveyance.ae coordinates the procedural transfer file. We do not:

  • Provide property brokerage or negotiate the commercial terms of the sale
  • Arrange mortgage finance
  • Provide tax, accounting or corporate-restructuring advice
  • Provide legal representation outside the agreed transfer-coordination scope
  • Conduct structural, condition or snagging inspections
  • Approve the company’s authority on behalf of DLD or the trustee centre
  • Guarantee approval by a developer, bank, trustee or government authority
  • Hold the purchase money

Purchase-money settlement follows the applicable bank and DLD-authorised trustee process.

Official registration

DLD remains the registering authority.

Conveyance.ae prepares and coordinates the file, but it does not itself perform the government registration. The official property transfer is processed through Dubai Land Department and the applicable DLD-authorised trustee centre. DLD and the trustee determine whether the documentation and authority evidence satisfy the registration requirements.

Payment of the Conveyance.ae service fee appoints us to coordinate the transfer. It does not itself transfer ownership, discharge a mortgage or pay official and third-party charges.

Is a Company-to-Individual sale the same as property gifting?
No. This fixed-fee service is designed for a sale from a corporate owner to an individual purchaser. A gift, shareholder distribution, internal restructuring or other non-sale ownership change must be reviewed separately because the applicable procedure, eligibility requirements and fees may differ.
Does the company need to be registered with DLD?
The corporate owner must have the entity information required for the proposed real-estate transaction. If the company is not already registered in the DLD system, company registration may need to be completed before the transfer can proceed. We identify this during the initial review.
What corporate documents will be required?
The exact list depends on the company’s jurisdiction, constitutional documents, ownership structure and authorised signatories. It may include the trade licence, incorporation and constitutional documents, shareholder information, board or shareholder approvals and identity documents for the authorised signatory.
Is a board resolution always required?
A formal approval document is commonly required, but its exact form depends on the company structure and the authority already granted under its constitutional documents. We confirm the appropriate approval and signatory requirements after reviewing the entity.
Can the company manager or director sign?
Only where that person’s authority is supported by the company documents and accepted for the proposed DLD transaction. A job title alone does not establish authority to dispose of company-owned property.
Can the company use a power of attorney?
Potentially, but the document must contain sufficient authority for the proposed transaction and satisfy the applicable validity and authentication requirements. The power of attorney should be reviewed before the trustee appointment is arranged.
What happens if the property is mortgaged?
The seller’s bank and mortgage-release process must be incorporated into the transfer sequence. We review the mortgage position before confirming whether the published Company-to-Individual scope applies or whether additional bank coordination is required.
What if the buyer is using a mortgage?
The buyer’s lender, valuation and final-offer requirements must be coordinated with the corporate seller’s authority and developer-NOC requirements. The finance route should therefore be confirmed before appointment.
Does Conveyance.ae inspect the property?
No. We do not conduct technical, structural or snagging inspections. Some developers conduct their own pre-NOC inspections, particularly for villas, to check for unauthorised alterations. Where required, we coordinate that appointment and may attend as part of the agreed scope.
Are DLD and trustee fees included in AED 9,999?
No. The AED 9,999 + VAT charge is the Conveyance.ae coordination fee. DLD, trustee, developer, bank, company-registration and other official or third-party charges are separate.
How long does a Company-to-Individual transfer take?
Timing depends on the company-document review, DLD entity status, signatory authority, developer NOC, mortgage position and trustee availability. The official registration appointment is generally the final step. Preparing a complete and acceptable corporate and property file is the substantive work.
Can we appoint Conveyance.ae before every document is ready?
Yes. The transfer file can be opened first. We then identify the evidence already available, what is missing and which party must supply each outstanding item.
