What does SPA mean in Dubai real estate?
SPA stands for Sale and Purchase Agreement: the contract recording a property sale’s agreed terms. In a developer purchase, the document usually sets out the unit, parties, price, payment schedule and other conditions of that purchase. For a secondary transaction, establish exactly which sale documents the parties are using; the title given to a document is not enough to identify the transfer process. Keep the contract separate from the official property-registration record. This guide helps you identify the document and prepare the transaction file. Questions about a clause’s legal effect need advice on the actual agreement.
What SPA stands for and where you see it
Sale and Purchase Agreement (SPA) is defined on glossary.ae — see the full definition. On this page: what Sale and Purchase Agreement (SPA) means specifically inside a Dubai property transfer.
What “SPA” usually refers to in a Dubai transfer
In Dubai property the phrase is used in two different places, and the transfer route depends on which one you have. On an off-plan purchase from a developer, the sale and purchase agreement is the developer’s contract for the unit: DLD’s off-plan registration page (sale with an initial mortgage) asks for a copy of the sale and purchase contract, and the interim registration (Oqood) rests on it. On a secondary sale between private parties, the contract signed and brought to the registration trustee is Form F, RERA’s unified sale contract, often alongside a memorandum of understanding — and parties and brokers may still call that package “the SPA”. Before a transfer file is opened, establish which document you actually hold, because the registration route, the documents the trustee expects and the developer’s involvement differ between the two.
Whatever it is called, the contract is a private agreement; registering the transfer is a separate official step, and a signed SPA is not proof of ownership until the DLD record has been updated. The Form F and MOU guide covers the secondary-sale contract; secondary off-plan resale covers a resale of a unit still under an SPA with the developer.
You will meet the term in three places: in the developer’s own contract for a new or off-plan unit; as brokers’ and parties’ shorthand for the secondary-sale package; and in bank and DLD checklists that ask for “a copy of the sale and purchase contract”.
Document anatomy: parties, property, price, payment schedule and signature fields
Whatever the document is called, check that it identifies: the parties, with full legal names as on their identity documents and, for a company, who signs for it; the property — project, building, unit number and the DLD or Oqood reference where one exists; the price and the deposit, with the payment schedule and the account each payment goes to; the completion or transfer date and what the document says happens if it moves; who pays which fee at transfer; and the signature fields, including any witness or broker fields the parties expect to be completed. A document missing one of these is a question for the parties and their adviser, not a gap to fill by assumption.
Does the name on the agreement match the identity document and the title record?
Compare the three. A spelling or order difference is raised with the issuer of the document that is wrong before the appointment; the trustee compares them on the day.
Which payments have already been made under it, and is there evidence for each?
List each payment with its date, amount, payer, recipient and receipt. For an off-plan unit, ask the developer for its statement of amounts paid and outstanding and reconcile the two lists.
Does it say who pays which fee at transfer?
If it does not, agree the allocation in writing before the appointment. Who pays conveyancing fees in Dubai lists the questions to settle before signing.
Developer purchase vs secondary sale: identify the actual documents
Developer purchase. The SPA is the developer’s contract. The interim registration (Oqood) rests on it, and DLD’s off-plan registration page lists a copy of the sale and purchase contract among the required documents (read 7 October 2026). Secondary sale of a completed property. The contract brought to the registration trustee is Form F, with an MOU where the parties use one; “SPA” is shorthand here. Resale of an off-plan unit before completion. Two agreements exist — the original developer SPA and the new agreement between the existing purchaser and the buyer — and the developer’s resale conditions decide the route. Oqood versus title deed explains which record sits behind the unit.
Signed agreement vs registration record
A signed SPA is a private agreement. Ownership changes when DLD’s record changes — through the registration trustee for a completed property, or through the applicable developer and Oqood process for an off-plan unit. Until then the buyer holds contractual rights, not the title. Keep the two apart in the file: the contract and its payment evidence on one side, the registration record and its outputs on the other. A title deed or Oqood certificate is the proof of registration; the SPA is not.
What to prepare for a secondary off-plan resale
Confirm the developer’s resale conditions in writing for this unit, not another project’s rule. Assemble the original SPA and any addenda; the Oqood or provisional-registration evidence; the developer’s statement of amounts paid and outstanding; the proposed agreement between the existing purchaser and the buyer; both parties’ identity documents; and any approval or NOC the developer requires for the assignment. Reconcile the payment schedule: what the existing purchaser has paid, what remains due to the developer, and what the buyer pays and to whom. The registration output is an updated Oqood or DLD record, not a completed-property title deed. The secondary off-plan resale guide has the full preparation list. Conveyance coordinates the file; it does not determine disputed contractual entitlements, hold purchase money or review the SPA’s legal effect.
